Limited License for the Use of Images

Plantronics, Inc. ("Poly” – formerly Plantronics and Polycom") grants authorized third parties ("Licensee") a non-exclusive, non-sublicensable worldwide right to use and distribute Poly’s images ("Image/s") in accordance with the terms of this license.

Use and distribution of the Images is limited to the promotion of Poly products in publications, advertisements, collateral, and brochures in printed form or on the World Wide Web. Use of the Images for television advertising and use outdoors including but not limited to use on billboards is strictly prohibited.

Each Image indicates the Image license expiry date. The Images may not be used beyond the license expiry date as such use will subject Licensee to copyright infringement claims and other claims. Licensee is solely responsible for ensuring the Image is not used beyond the expiry date. Notwithstanding the foregoing sentence, Licensee shall be allowed to distribute printed marketing materials that use the Images until existing inventory is depleted provided such materials were created prior to the Image license expiry date. The Images may not be sublicensed, sold or otherwise made available for use or distribution other than as required for the promotion of Poly products.

Licensee agrees the Images may not be cropped, altered, transformed or merged with other images. Licensee further agrees the Images will not be used in a pornographic, defamatory, fraudulent, lewd, obscene or otherwise illegal manner, including, but not limited to, infringing any third party intellectual property or privacy rights, whether directly or in context or by juxtaposition with other materials.

Licensee agrees to indemnify and hold Poly harmless against any claims, damages, losses, expenses or costs, including legal costs, arising in any manner whatsoever from Licensee's unauthorized use of any Images or any other breach by Licensee of any obligation under this license including use of the Images beyond the expiry date.
